TERMS AND CONDITIONS

Effective Date: July 20, 2025

 

  1. Introduction
    These Terms and Conditions (“Terms”) constitute a binding legal agreement between the user (“You”, “User”) and Wingspan Innovative Technologies (“WIT”, “We”, “Us”, “Our”), a legally registered non-governmental organization in the United Republic of Tanzania. These Terms govern Your use of our digital learning platform and services and comply with the Personal Data Protection Act (Cap. 44), the National Payment Systems Act, the Electronic Transactions Act.

This Agreement shall become effective upon the earlier of: (a) your electronic acceptance of these Terms; or (b) the execution of a written contract with WIT.

 

  1. Acceptance
    By accessing or using the platform and its services, or by completing the registration and payment process through our designated payment gateway, You expressly agree to these Terms. If You do not agree to these Terms in full, You are not authorized to access or use the platform or its services.

 

  1. Eligibility and Account
    • Users must be 18 years or older or have a verifiable guardian consent.
    • Users agree to provide complete and accurate information during registration.
    • WIT reserves the right to suspend or terminate accounts under suspicion of fraud, misinformation, regulatory violation, or platform misuse.

 

  1. Services and Subscriptions

4.1 Users may subscribe on a monthly, quarterly, or annual basis. Access is granted immediately upon full payment confirmation via the designated payment gateway.

4.2 Subscription fees do not include any charges or fees imposed by your mobile network operator during the transaction process.

4.3 Subscription fees are subject to change with fourteen (14) days’ notice.

 

  1. Payment and Charges
    • Users are required to make subscription payments through the designated payment channels support on the platform. WIT will confirm receipt of payment and enable access to the platform once the transaction is successfully processed.
    • All payments must be made in Tanzanian Shillings, unless otherwise indicated. If payment is made in a foreign currency, it will be automatically converted to TZS at the prevailing exchange rate applied by the integrated payment processing system at the time of the transaction. WIT does not charge additional service fees beyond the published subscription rates, but any transaction fees imposed by mobile money operators or banks are the responsibility of the User.
    • In the event of a failed transaction, WIT shall not be liable for any mobile service or financial intermediary errors. Users are advised to confirm payment success via transaction ID confirmation on their registered account.
    • Any discrepancies in billing must be reported to WIT within seven (7) days of the transaction. Failure to report within this period may result in forfeiture of claims for reimbursement or investigation.
    • In the event of a user-initiated refund or transaction reversal, the user shall bear any associated administrative or processing fees unless the cause of the refund is attributable to a fault or error by WIT or its authorized service providers.

 

  1. Intellectual Property

6.1 All course content, media, templates, and branding materials are the exclusive intellectual property of WIT.

6.2 No part of the platform may be copied, transmitted, or used for commercial purposes without prior written consent.

 

  1. Acceptable Use
    • You agree not to: (a) Engage in unlawful activities via the platform; (b) Violate intellectual property rights; (c) Interfere with service availability, introduce malware, or attempt unauthorized access.

 

  1. Suspension and Termination

WIT reserves the right to suspend or terminate your access immediately for breach of these Terms, regulatory violation, or suspicion of fraud. Account inactivity for a period exceeding twelve (12) months shall also lead to automatic suspension.

 

  1. Limitation of Liability

WIT shall not be liable for indirect, incidental, consequential, or punitive damages arising out of your use or inability to use the platform.

 

  1. Dispute Resolution

All disputes shall be resolved through arbitration under the Arbitration Act (Cap. 15) of Tanzania. Unresolved personal data disputes may be escalated to the Personal Data Protection Commission.

 

  1. Governing Law

These Terms shall be governed by the laws of the United Republic of Tanzania.
